Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Plinky Pay Inc.(“Plinky,” “we,” “us,” or “our”) governing your use of Plinkyat plinky.to (the “Service”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Plinky is

Plinky is a non-custodial wallet. Users hold their own balance and send and receive money directly between their own self-custodial wallets, settling as stablecoin (USDC) on the Base network. This includes tips from fans. Plinky is not a bank, money services business, money transmitter, custodian, broker, exchange, or investment adviser. We never take custody of, hold, or control your funds, and we do not hold your private keys.

2. Eligibility

You must be at least the age of majority in your jurisdiction and legally able to enter these Terms. You may not use the Service if you are barred from doing so under applicable law or are located in a sanctioned or prohibited jurisdiction. You agree to use the Service only for lawful purposes.

3. Your account and wallet

  • You sign in with a passkey, and a non-custodial embedded wallet is created that you own and control.
  • You are solely responsible for maintaining access to your passkey and any backup or recovery method you set up.
  • We cannot recover your account or your funds if you lose access. Because the wallet is self-custodial, no one, including us, can reset it for you.
  • You are responsible for all activity that occurs under your account.

4. Payments are final

Payments and tips are blockchain transactions. Once submitted and confirmed on-chain, they are irreversible. We cannot cancel, reverse, or refund a payment, and we are not responsible for transfers sent to the wrong address, for an incorrect amount, or as a result of user error. Please confirm details before you send.

5. Fees

Plinky may charge a small platform fee on payments, which is shown to you before you confirm. Blockchain network fees and any fees charged by a third-party payment provider are separate and may apply. We may change our fees on a going-forward basis by posting updated terms or in-product disclosures.

6. Adding funds via third-party providers

If you add funds using a card or local payment method, that purchase is provided by an independent third-party on-ramp provider (such as MoonPay), not by Plinky. Those providers deliver funds to your own wallet and perform any required identity verification (KYC) directly with you under their own terms and privacy policies. We are not a party to, and are not responsible for, your transactions with those providers. Their availability, limits, fees, and processing times are set by them.

7. Acceptable use

You agree not to use the Service to:

  • break any law or regulation, or facilitate money laundering, terrorist financing, fraud, or sanctions evasion;
  • send or solicit payments for illegal goods or services, or for content that is unlawful, abusive, or harmful;
  • infringe anyone’s intellectual property or privacy rights;
  • interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service or its infrastructure;
  • impersonate others or misrepresent your affiliation; or
  • use bots, scrapers, or automated means to abuse the Service.

We may suspend or terminate access for any violation, or where we reasonably believe it is necessary to protect the Service or other users.

8. Intellectual property

The Plinky name, logo, software, and content (excluding user-provided content) are owned by Plinky Pay Inc. and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. You retain rights to content you provide and grant us a license to host and display it as needed to operate the Service.

9. No financial advice

Nothing in the Service is financial, investment, legal, or tax advice. Digital assets carry risk, including price volatility and the risk of total loss. You are responsible for your own decisions and for any taxes arising from your use of the Service.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that blockchain networks or third-party providers will perform as expected.

11. Limitation of liability

To the maximum extent permitted by law, Plinky Pay Inc. and its officers, directors, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of funds, profits, data, or goodwill, arising from or related to your use of the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the platform fees you paid us in the three months before the claim or CAD $100.

12. Indemnification

You agree to indemnify and hold harmless Plinky Pay Inc. from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your breach of these Terms or of any law or third-party right.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or where we reasonably believe it is necessary. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, and limitations of liability.

14. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located there for any dispute, except where applicable law gives you the right to bring a claim elsewhere.

15. Changes to these Terms

We may update these Terms from time to time. We will revise the “Last updated” date above and, for material changes, provide notice in the Service. Your continued use after an update means you accept the revised Terms.
